1. Acceptance of Terms

7. Limitation of Liability

To the maximum extent permitted by law, FinovaLab LLC and its officers, directors, employees, agents, and affiliates are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, arising out of or related to your use of the services, even if advised of the possibility of such damages. Our total liability for any claim arising from or relating to the services is limited to the amount you paid to FinovaLab for the services in the twelve months preceding the event giving rise to the claim or 100 EUR, whichever is lower. Some jurisdictions do not allow certain limitations, in which case the above may not fully apply, but our liability will be limited to the greatest extent permitted by law.

8. Indemnification

You agree to indemnify, defend, and hold harmless FinovaLab LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys fees, arising out of or in any way connected with your breach of these terms, your misuse of the services, your violation of any law or third party rights, or any content you submit through the services.

12. Dispute Resolution

Before filing a claim, the parties agree to attempt informal resolution. The complaining party must send a written notice describing the dispute and requested relief. If FinovaLab is the recipient, send the notice to the address listed in the Contact section. The parties will attempt to resolve the dispute in good faith within 30 days of receipt. If not resolved within that period, either party may pursue remedies in the courts identified in the Governing Law section. Nothing limits either party from seeking interim injunctive relief to protect confidential information or intellectual property.

13. Termination and Suspension

We may suspend or terminate your access to the services at any time if we believe you have violated these terms, created risk or possible legal exposure for us or other users, or if providing the services is no longer commercially viable. We may attempt to notify you using the contact information on file, if any, but are not obligated to do so. Upon termination, your license to use the services ends immediately. Sections that by their nature should survive termination will survive, including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution.

14. Modifications to the Services and Terms

We may update the services, add or remove features, or modify these terms from time to time. Material changes to these terms will be posted on this page and will take effect 14 days after posting unless a different effective date is stated. Your continued use of the services after changes become effective constitutes acceptance of the updated terms. If you do not agree to the changes, you must stop using the services.

18. Entire Agreement and Severability

These terms, together with the Privacy Policy, constitute the entire agreement between you and FinovaLab regarding the services and supersede prior or contemporaneous agreements on the subject. If any provision is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

19. Assignment

You may not assign or transfer any rights or obligations under these terms without our prior written consent. We may assign our rights and obligations to an affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of assets.
